Hi, is buying shelf/aged corp worth it? have any one ever done any biz with companies inc dot com ??? they sell aged/shelf corps. can I purchase a business on a shelf/aged corp? as speaking if I want to buy small smoke shop or a sandwich shop? Please guide before I make a purchase with these guy. Thanks Ninja
Quite frankly I don't see any reason to by a shelf/aged corp for something like a smoke shop or a sandwich shop. Why would you want to do that as opposed to just a regular corporation?
I don't know why you would want to buy a shelf corp. If you have a good business idea, why not just start your own? It's rather easy, quick and quite inexpensive to set up a business through your state's website these days.
While there may be valid reasons why one might not want to set up a corporation through one's state website, setting up a shelf corp. is much, much more expensive and most especially if one buys a shelf corp at least 3 years of aging on it's history and if you want it to have established credit it gets even more expensive. The only reasons I can think of for even establishing an out of state anonymous corp is in the event that the owner has bad credit or does not want to be personally liable for the debts of the corp. Another consideration is that if one sets up an out of state corp they lose the anonymity they enjoy if they don't do a foreign corp registration in their state but then they can't do business in their state either. Most states require a full disclosure of all owners and officers of a foreign corp just as they do an instate corp. Furthermore, getting a foreign corp and then registering it to do business in the owner's home state adds a sizable amount of extra expense a new business simply don't need and probably can't afford. I say that for a small business the only realistic approach is to incorporate in your home state and be done with it.
